Vendor & Corporate Due Diligence in Nigeria: A Buyer Guide

How Nigerian businesses should approach due diligence on vendors, partners and investment targets: what to verify, how deep to go, and what a credible report should contain.

What due diligence should actually investigate

A useful due-diligence report goes beyond confirming that a company exists. It should cover business registration, ownership structure, financial stability, litigation records, regulatory compliance, public reputation and adverse media mentions. Depth should match the size and risk of the relationship being formed.

Match the depth of investigation to the decision

Not every vendor relationship needs the same level of scrutiny. A one-off supplier contract may only need registration and basic reputation checks, while an investment, acquisition or long-term strategic partnership justifies a full financial, legal and reputational review. Buyers should ask for the right depth rather than the maximum depth by default.

Domestic and cross-border checks

Nigerian businesses increasingly deal with vendors and partners outside the country. International due diligence is possible but depends on the target country and what public records are available there, so buyers should confirm cross-border capability before assuming a domestic-only process will cover a foreign counterparty.

What a credible report should deliver

Look for a structured report covering financial, legal, operational and reputational findings, with clear risk indicators rather than a vague summary paragraph. A defensible report should let a decision-maker see what was checked, what was found, and what remains unverifiable from available records.

Turnaround and process

Because due diligence draws on public records, filings and manual research rather than a single database lookup, a realistic turnaround is several business days rather than an instant result — deeper investigations naturally take longer than a basic registration check.

Where due diligence fits alongside other verification

Due diligence on a business or individual counterparty is a different discipline from screening an employee, but both often run through the same verification programme. Organisations combining hiring and vendor screening can review the full background-checks capability rather than managing two separate processes.

Questions to ask a due-diligence provider

  • What specific records and sources are checked — registration, litigation, financial, reputational?
  • Can the depth of investigation be scaled to the size of the decision?
  • Is cross-border due diligence available, and for which countries?
  • What does the final report look like — structured findings or a narrative summary?
  • What is the realistic turnaround for the level of investigation required?
